Our Board of Directors, our Executive Committee and our various committees ensure the good health of the emeis group, its employees and its patients, residents and beneficiaries.
Together, these women and men defend the values, commitments and missions of our collective. It's a responsibility that is both binding and engaging.

The Combined General Meeting of December 22, 2023 approved the in-depth renewal of the emeis Board of Directors, which now comprises 13 directors (including 2 directors representing employees) and 2 non-voting directors.

Committees of the Board of Directors
The Board of Directors has set up four working committees:
Audit and Risks Committee
The Audit and Risks Committee comprises five directors: Méka Brunel (Chairman and independent director), Caisse des Dépôts et Consignations (represented by Audrey Girard), CNP Assurances (represented by Stéphane Dedeyan), MAIF (represented by Pascal Demurger) and Mireille Faugère (independent director). Laurent David (non-voting director) also sits on this committee.
>> The Audit and Risks Committee monitors issues relating to the preparation and control of accounting and financial information, in order to prepare the decisions of the Board of Directors in financial and accounting matters.It also monitors issues relating to the effectiveness of internal control, internal audit and significant risk management systems, where appropriate in conjunction with the specialised committee responsible for non-financial issues.Lastly, it is responsible for monitoring the impact and implementation of investments and divestments on the company's financial and cash position and on relations with its creditors.
Appointments and Remuneration Committee
The Appointments and Remuneration Committee is made up of six directors: Guillaume Pepy (Chairman and independent director), Caisse des Dépôts et Consignations (represented by Audrey Girard), MACSF Epargne Retraite (represented by Stéphane Dessirier), Philippe Grangeon (director nominated by Caisse des Dépôts), Méka Brunel (independent director) and Noria Charef (director representing employees).
>> The Nominations and Remuneration Committee is responsible for monitoring governance and remuneration issues, as well as overseeing skills pools to ensure a succession plan for the Executive Committee and key functions, and for HR policy.It is responsible for organising the selection process for independent directors on the Board of Directors and for examining the insurance cover put in place by the Company for the civil liability of its corporate officers.
Ethics, Quality and CSR Committee
The Ethics, Quality and CSR Committee comprises five directors: Mireille Faugère (Chairman and independent director), Philippe Grangeon and Sibylle Le Maire (directors nominated by Caisse des Dépôts), Frédérique Mozziconacci (director nominated by MAIF) and May Antoun (director representing employees). Pascale Pradat (non-voting director) also sits on this committee.
>> The main tasks of the Ethics, Quality and CSR Committee are to examine the Group's strategy and commitments in terms of environmental, social and community responsibility and innovation, to monitor actions and to assess the main results.It is also responsible for monitoring residents' living conditions.
Investment Committee
The Investment Committee is made up of four directors: Caisse des Dépôts et Consignations (represented by Audrey Girard, Chairman), CNP Assurances (represented by Stéphane Dedeyan), Philippe Grangeon (director nominated by Caisse des Dépôts) and Méka Brunel (independent director). Laurent David (non-voting director) also sits on this Committee.
>> The Investment Committee is responsible for examining proposed acquisitions and disposals, including property transactions, and partnerships entered into in this context, subject to prior authorisation by the Board of Directors as part of the restrictions placed on the powers of the Executive Board.The Committee examines the Group's investment and divestment strategy.

The Group Executive Committee comprises 25 members, 8 of whom are members of the Management Team.
